These terms describe the responsibilities of you (the customer) and Impossible Designs, operated by Kevin Thorne and Chandra Shukla. When you accept a quote or proposal that refers to these terms, pay a deposit for that project, or instruct us to begin work after receiving these terms, you agree to them, including the confidentiality and liability provisions below. We decide whether to accept a proposed project; your enquiry, acceptance of a quote or payment does not oblige us to undertake it until we confirm our acceptance in writing. A specific written agreement for a project takes priority where it says something different. Visiting this page or sending an enquiry does not, by itself, accept a quote.
01 / Material you supply
You confirm that you own, control or have obtained all permissions needed for material you ask us to use. This includes photographs, illustrations, logos, trademarks, fonts, lyrics, song titles, compositions, sound recordings, samples, credits, names and likenesses, and material generated or altered with AI. Permissions must cover the intended design, editing, reproduction, printing, digital display, promotion and distribution in the places and formats planned for the project. Sending us a file does not, on its own, give you permission to use it.
Please tell us about restrictions, required credits, expiry dates or licences before work begins, and provide proof of permission if we reasonably request it. We may pause or decline material where rights are unclear; we will discuss an alternative with you. We do not independently clear third-party rights unless that service is expressly included in your written project scope.
02 / Music and release information
You supply and verify the final artist and album names, track titles and running times, songwriter and performer credits, label information, copyright and sound-recording notices (including © and ℗ where appropriate), catalogue numbers, barcodes and any required legal wording. If a project involves music, you are responsible for obtaining the relevant rights in both the compositions and recordings, as well as in any lyrics, samples or images you ask us to reproduce. We place approved information into the design; we do not verify ownership or register copyrights for you.
03 / Proofreading and approval
Before artwork is printed, published or delivered as final, we will provide a proof or another agreed review opportunity. Please check every page and panel carefully: spelling, names, track lists, credits, dates, copyright lines, contact details, barcodes, size, folds, trim, bleed, image placement and the agreed specifications. Tell us any corrections in writing. We will make the corrections included in the agreed scope and send an updated proof when needed. Please give explicit written approval of the final proof before production or publication. Approval confirms that you have checked and accepted the content and layout shown. Corrections or reprints requested after approval may cost extra and affect timing; we will explain those costs before proceeding.
04 / Print and production
Physical output can differ from a backlit screen, and stock, finish, trimming and manufacturing have normal tolerances. We will follow the agreed specifications and flag concerns we identify. If you arrange printing with another supplier, you are responsible for checking that supplier’s technical requirements and approving its production proof. If we arrange production, we will share the applicable proof or approval step with you. Any quoted print-price validity period is stated in your quote.
05 / Changes, timing and payment
A project begins when we confirm in writing that we accept it and agree its scope. We may decline a proposed project before that point. If we do, we will refund any payment received for it less only the PayPal processing fee actually charged to us and not returned by PayPal, provided that this deduction was disclosed before payment and is permitted by applicable law. Where a full refund is required by law, we will refund the full amount. Your accepted quote or proposal sets the deliverables, revisions, schedule, currency, taxes, deposit and payment terms. If the scope or supplied materials change, we will discuss any extra cost or delay before doing additional work. Timely feedback and complete source files help us keep the agreed schedule. Ownership and licence to use the finished design, and any third-party licences, are governed by the written quote or project agreement; payment alone does not transfer rights in material belonging to someone else.
06 / Shipping, customs and import charges
For physical goods, we will use the shipping method and destination agreed for your project. Dispatch and delivery dates are estimates unless we expressly agree otherwise in writing. Carriers, postal services and border authorities may delay, inspect, hold, refuse or seize a shipment for reasons outside our control. We cannot guarantee customs clearance or a particular delivery date, and we are not responsible for delays or border actions caused by those third parties, inaccurate information you provided, unpaid import charges or material you supplied without the necessary rights or permissions. Please contact us promptly if a shipment has a problem so we can provide reasonable information or help with a carrier enquiry.
Unless the written quote expressly says that we will pay them, you or the designated importer are responsible for any customs duties, tariffs, import taxes, brokerage or clearance fees, and other destination-country charges. These charges are separate from our quoted design, production and shipping prices. Rates, rules and assessments can change between the date of a quote, your acceptance, dispatch and delivery; a quote does not fix or guarantee the charges that authorities or carriers may later assess.
07 / Responsibility and limit of liability
You are responsible for claims and costs caused by inaccurate information or material you supplied without the rights or permissions described above, to the extent permitted by applicable law. We remain responsible for our own work and agreed obligations. If a rights, delivery or production issue arises, please tell us promptly so we can work together on a practical resolution.
By agreeing to use our services on the terms described above, you agree that, to the extent permitted by applicable law, any compensation or other monetary remedy you may recover from us for a project is strictly limited to the total amount you actually paid to Impossible Designs for that project, and no more. This is one combined limit for all claims arising from that project, whether based on the agreement, negligence or another legal basis. We are not liable for lost profits, lost sales, missed release opportunities or other indirect or consequential losses to the extent the law allows.
08 / Confidentiality
Every project agreement includes a mutual duty to keep the other party’s non-public project information confidential and use it only to discuss or carry out the project. This includes unreleased music, artwork and drafts, briefs, plans, pricing and private communications. We also treat non-public material sent with an enquiry as confidential while considering whether to accept the work. Either party may share necessary information with its staff, collaborators and production or delivery partners who need it for the project and are required to protect it, or disclose it when required by law.
Confidentiality does not cover information already lawfully known to the receiving party, independently developed without using the other party’s information, or made public without a breach of this duty. We will not publish unreleased work or identify an unannounced project in our portfolio before you approve it or make it public. Any separately agreed embargo or stricter confidentiality agreement takes priority. These duties continue after a project ends while the information remains non-public.
